| Terms |
| Terms are 1% 10 days, net 30 days, with approved credit. Prior to approved credit, payment must be C.O.D. (Cash on Delivery). Remit payments to: J&W Manufacturing Inc. 6215 W. van Buren Phoenix AZ 85043. Price quotes will be valid for 30 days from the date of quotation. |

| Credit |
| If your account goes beyond allowed terms, no merchandise will be shipped until past due balances are paid. |

|
| Deductions |
| No deductions will be allowed for invoices for any reason without authorization. |
|
|
| Lead Time |
| J&W Mfg. will use its best effort to obtain delivery within quoted lead times. Buyers must recognize that J&W Mfg. is a manufacturer and subject to production logistics. Requests for changes to an order can not be accepted later than 5 working days prior to the scheduled ship date. J&W Mfg. can not be responsible for any damage caused by delayed delivery. |

| Partial Shipments |
| Partial shipments will be made upon customers request. What is shipped will be invoiced and payable in accordance to J&W Mfg. terms. Balance of order will be shipped when it is available. Customers will be responsible for freight on all purchases. |

| Shipping Charges |
J&W Mfg. will arrange standard ground freight unless buyer specifies a particular method of shipment. All merchandise is packed in an approved manner. Please inspect all merchandise immediately upon receipt. If merchandise appears damaged, do not unpack, call carrier for inspection. Notification of concealed damage must be made to the freight company delivering the goods. |

| Redelivery of Freight |
| When redelivery of merchandise is required because the customer is unable to accept the merchandise and no notification of this fact was given to J&W Mfg. the actual cost for freight, handling and warehousing will be billed to the customer. |
